Website Terms and Conditions

These Website Terms and Conditions (the “Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and SARĀY LLC, a California limited liability company (“SARĀY,” “Company,” “we,” “us,” or “our”), governing your access to and use of www.stayatsaray.com (the “Website”), any subdomains thereof, and any related applications, platforms, or digital interfaces operated by SARĀY through which its offerings are made available.
“User”: For purposes of these Terms, “User” includes, without limitation, guests, prospective guests, property owners, prospective owners, partners, and any other individuals or entities interacting with the Website and/or the Services (as defined below).
“Services”: SARĀY provides a curated platform through which it offers a range of services, which may include, without limitation, direct booking of short-term and mid-term rental properties; hospitality and property management services; interior design, styling, and consulting services; editorial, journal, and lifestyle content; curated product recommendations and third-party links; and marketing materials, digital experiences, and related offerings (collectively, the “Services”). The Services may evolve over time, and SARĀY reserves the right, at any time and in its sole discretion, to modify, suspend, or discontinue any aspect of the Services, with or without notice and without liability.
1. Acceptance of Terms
By accessing, browsing, using the Website, creating an account, making a reservation, or otherwise interacting with the Services, you represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement, and you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you are not authorized to access or use the Website and/or the Services.
These Terms are incorporated by reference with, and should be read in conjunction with:

the Privacy Policy, which governs how SARĀY collects, uses, processes, and protects your information in connection with your use of the Services, and is hereby incorporated into these Terms by reference;

the License Agreement for Short-Term Use, where applicable

the Booking Confirmation issued at the time of reservation, which sets forth the specific details of your booking, including the Property, Use Period, fees, and applicable terms, where applicable;

the Short-Term Rental Services and Hospitality Agreement (or any successor owner or management agreement entered into with SARĀY), where applicable.
In connection with certain Services or transactions made available through the Website, you may be required to enter into additional agreements, consents, or acknowledgments that contain supplemental or different terms and conditions (collectively, “Additional Terms”). You agree that such Additional Terms shall apply solely to the specific Services or transactions to which they relate. In the event of any conflict or inconsistency between these Terms and: (i) the License Agreement for Short-Term Use, the License Agreement shall control with respect to any reservation or stay; (ii) any owner or management agreement with SARĀY, such agreement shall control with respect to the services provided to the property owner; and (iii) any applicable Additional Terms, such Additional Terms shall control solely with respect to the subject matter to which they apply.
2. Limited License
Subject to your compliance with the Terms, SARĀY LLC grants you a limited, revocable, non-exclusive, and non-transferable license to access and use the Website and the Services solely for their intended and lawful purposes. Such permitted use includes, without limitation, searching for, reviewing, or booking rental properties; submitting inquiries or requests related to reservations or Services; researching, engaging with, or inquiring about SARĀY’s hospitality, design, or management services, including as a property owner or prospective owner; accessing content and materials made available through the Website for personal, non-commercial use; and taking such actions on behalf of another person where you are legally authorized to do so. Use of the Website and Services is limited to the permissions expressly granted in these Terms.
3. Eligibility and User Accounts
The Services and the Website do not currently require the creation of a user account; however, SARĀY reserves the right to introduce account functionality at any time. If and when account functionality is made available, you agree that you will provide true, accurate, current, and complete information, and that you will promptly update such information as necessary to keep it accurate and complete. You further agree to maintain the confidentiality and security of your login credentials and not to share such credentials with any third party. You acknowledge and agree that you are solely responsible for all activities that occur under your account, whether or not such activities are authorized by you. In the event that you become aware of any unauthorized access to or use of your account, you agree to notify SARĀY promptly and to take all reasonable steps to secure your account. SARĀY reserves the right to suspend or terminate accounts, if applicable, at its sole discretion, including for violations of these Terms.
4. Bookings, Payments, and Fees
All reservations made through the Website are subject to the License Agreement for Short-Term Use and the Booking Confirmation, which is issued at the time a reservation is confirmed, and which together govern the terms of occupancy, payment, cancellation, fees, and use of the applicable property. By making a reservation, you acknowledge and agree that pricing, availability, and applicable fees are subject to change until the reservation is confirmed, and that SARĀY reserves the right to correct any pricing inaccuracies, listing errors, or omissions at any time prior to confirmation. Nothing in these Terms modifies or replaces the License Agreement for Short-Term Use and/or the Booking Confirmation, each of which shall control with respect to the reservation and use of the property.
4.1. Fees. SARĀY may charge fees in connection with the Services, including, without limitation, service fees, booking fees, cleaning fees, administrative fees, or other charges related to a reservation or transaction (collectively, “Fees”). All applicable Fees will be disclosed to you prior to completing your booking and will be reflected in the Booking Confirmation. Unless otherwise expressly stated in the Booking Confirmation or any applicable agreement, Fees are earned upon confirmation of the reservation and are non-refundable. SARĀY reserves the right to determine, modify, or structure Fees at its discretion, including the method by which such Fees are calculated, applied, or presented, to the fullest extent permitted by law.
4.2. Third-Party Payment Processor. Payment processing may be facilitated through third-party service providers, and by submitting payment information, you authorize SARĀY and its designated payment processors to charge the applicable amounts in accordance with the Booking Confirmation and any governing agreement. You acknowledge that third-party payment processors or financial institutions may impose additional fees, charges, or currency conversion costs, which are not controlled by SARĀY and for which SARĀY bears no responsibility.
4.3. International Travel. Users are responsible for complying with all applicable travel requirements in connection with any reservation, including entry, health, and documentation requirements. Additional terms relating to travel and occupancy are set forth in the License Agreement for Short-Term Use.
4.4. Currencies. Pricing and fees may be displayed in one currency and charged in another, depending on the location of the property, your payment method, or other factors. Any currency conversion or display of prices in a different currency is provided for convenience only and may not reflect the exact amount charged to you. You acknowledge that your payment provider or financial institution may apply its own currency conversion rates, fees, or international transaction charges, which are outside of SARĀY’s control and for which SARĀY bears no responsibility.
SARĀY reserves the right to correct any errors, inaccuracies, or omissions in pricing, descriptions, or availability, and to cancel or refuse any reservation made based on such errors.
5. Third-Party Services and Links
The Services may integrate with, connect to, or contain links to third-party services, platforms, providers, or websites, including, without limitation, payment processors, property management systems, booking platforms, and third-party products or services offered through curated recommendations or affiliate relationships. Such third-party services and offerings are not owned, operated, or controlled by SARĀY, and are made available for convenience and informational purposes only.
SARĀY may receive compensation, commissions, or other financial benefits in connection with certain third-party links, referrals, or transactions.
Your interactions with any third-party service or provider, including any purchases, bookings, payments, or other transactions, are solely between you and such third-party and are subject to their respective terms, conditions, and policies. SARĀY makes no representations or warranties regarding, and assumes no responsibility or liability for, the availability, accuracy, pricing, content, products, services, or practices of any third party.
You acknowledge that third-party providers, including payment processors or financial institutions, may impose additional fees, charges, or currency conversion costs, which are outside of SARĀY’s control and for which SARĀY bears no responsibility.
Certain features of the Services may rely on third-party platforms or technologies embedded within the Website, which are governed by the terms and policies of the applicable third-party providers.
6. Intellectual Property
All content on the Website, including but not limited to text, images, designs, layouts, visual compositions, stylistic elements, aesthetic arrangements, user interface and user experience design, architectural and interior design concepts, branding elements, trade dress, logos, audiovisual materials, software, and all other materials or elements made available through the Services (collectively, “Content”), is the exclusive property of SARĀY LLC or its licensors and is protected under applicable intellectual property laws of the United States and other jurisdictions, as well as international treaties and conventions. You acknowledge and agree that all right, title, and interest in and to the Content are and will remain exclusively with SARĀY LLC or the applicable rights holder.
You may not copy, reproduce, distribute, display, publish, transmit, modify, create derivative works from, or otherwise exploit any Content without prior written consent; use the Content for any commercial or competitive purpose; access, extract, compile, or reuse any listings, pricing, images, data, or other materials for any purpose not expressly authorized herein; or reverse engineer, decompile, disassemble, or otherwise attempt to derive or access any underlying systems, code, or structure associated with the Website or Services. You may not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices contained in the Content.
You further agree not to use, reproduce, or replicate any design concepts, visual identities, layouts, or aesthetic elements embodied in the Website or Services in any manner that is intended to imitate, appropriate, or compete with SARĀY’s brand, offerings, or design approach. Any unauthorized use constitutes a violation of these Terms and applicable law.
Subject to your compliance with these Terms, SARĀY grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Website and Services, and to view the Content, solely for your personal and non-commercial use.
7. Use of Artificial Intelligence
SARĀY may utilize artificial intelligence, machine learning, and related technologies in connection with the operation of the Website and the provision of the Services, including, without limitation, in the creation, curation, optimization, or presentation of Content and user experiences, including through automated or interactive features. Such technologies are implemented to enhance functionality, efficiency, and the overall quality of the Services, and may evolve over time at SARĀY’s discretion. Any Content or output generated or assisted by artificial intelligence is provided for informational and illustrative purposes only, and SARĀY makes no representations or warranties as to the accuracy, completeness, reliability, or suitability of such Content. You acknowledge that automated systems may produce results that are incomplete, approximate, or subject to interpretation. By accessing or using the Website and Services, you acknowledge and consent to SARĀY’s use of such technologies as described herein. SARĀY reserves the right to modify or expand its use of artificial intelligence at any time, and any such changes shall be reflected through updates to these Terms. You may not use the Website, Services, or any Content, in whole or in part, for the purpose of training, developing, or improving any artificial intelligence, machine learning, or similar systems, or for creating any derivative datasets, models, or technologies, without SARĀY’s prior written consent. Nothing in these Terms grants you any right or license to use SARĀY’s Content, data, design elements, or materials in connection with any artificial intelligence or automated systems.
8. Allowed Use and Prohibited Use
You agree not to use the Website or Services for any purpose that is unlawful or inconsistent with these Terms. Any use of the Website or Services outside the scope of the limited license granted under Section 2 is strictly prohibited. Without limiting the foregoing, you agree that you shall not:
8.1 Unauthorized Commercial Use and Content Exploitation
Directly or indirectly use the Website or Services for any commercial, competitive, or unauthorized purpose, including any effort to replicate, compete with, or derive commercial benefit from SARĀY’s business model, offerings, or operations, or copy, reproduce, distribute, display, transmit, or otherwise exploit any portion of the Website or its Content except as expressly permitted under these Terms.
8.2 Data Extraction and Automated Access
Access, monitor, extract, or collect data from the Website through automated or manual means, including the use of bots, scrapers, crawlers, or similar technologies, without SARĀY’s prior written consent.
8.3 Interference with Systems and Security
Circumvent, interfere with, or attempt to circumvent or interfere with the operation, security, or integrity of the Website or any systems or networks connected to the Services.
8.4 Fraud and Misrepresentation
Misrepresent your identity, provide false or misleading information, or engage in fraudulent or deceptive conduct, including in connection with reservations, inquiries, or payments.
8.5 Circumvention of Services
Use the Website to identify, contact, solicit, or engage property owners, guests, or users for the purpose of conducting transactions outside of the Services or directing them to competing services or platforms.
8.6 Use in Artificial Intelligence or Machine Learning Systems
Use the Website or any Content in connection with the development, training, or operation of any machine learning, artificial intelligence, or similar systems.
8.7 Unauthorized Access
Access or attempt to access any restricted areas of the Website, systems, or data without authorization.
You further agree not to use the Website or Services in any manner that could damage, disable, overburden, or impair the Services, or that could interfere with any other user’s access to or use of the Services. You agree not to encourage, assist, or enable any other person to violate these Terms.
You agree to use the Website and Services in a lawful and respectful manner and not to discriminate against, harass, or engage in abusive conduct toward any person on the basis of any characteristic protected under applicable law, or otherwise engage in conduct that is unlawful, harmful, or objectionable, as determined by SARĀY in its sole discretion.
SARĀY reserves the right to investigate and take any action it deems appropriate in response to violations of this Section, including suspending or terminating access to the Services.
9. User Submissions
9.1 Submissions Generally
SARĀY may, in its sole discretion, enable or accept the submission of content by users, including, without limitation, reviews, feedback, testimonials, images, or other materials provided in connection with the Services (collectively, “Submissions”).
9.2 License to Submissions
By submitting or otherwise providing any Submissions to SARĀY, whether through the Website or by any other means, you grant SARĀY a worldwide, non-exclusive, irrevocable, perpetual, royalty-free, transferable, and sublicensable right and license to use, reproduce, modify, adapt, publish, distribute, display, and otherwise utilize such Submissions, in whole or in part, in any format or medium now known or later developed, for purposes related to the operation, improvement, promotion, or marketing of the Services.
9.3 Attribution
You acknowledge that SARĀY may use Submissions with or without identifying you as the source, and that any such attribution shall be determined in SARĀY’s sole discretion.
9.4 Representations and Warranties
You are solely responsible for all Submissions that you provide and for the consequences of submitting such content. You represent and warrant that you own or have all necessary rights, licenses, consents, and permissions to provide the Submissions and to grant the rights described in this Section, and that such Submissions do not infringe, misappropriate, or otherwise violate any intellectual property, privacy, publicity, or other rights of any third party, and do not violate any applicable law.
9.5 Content Standards
You agree that your Submissions will not contain, and will not promote, any content that is unlawful, fraudulent, misleading, or otherwise violates any applicable law; infringes or misappropriates the rights of any third party, including intellectual property, privacy, or publicity rights; is defamatory, obscene, sexually explicit, violent, abusive, harassing, discriminatory, or otherwise objectionable; impersonates any person or entity or misrepresents your affiliation with any person or entity; or discloses personal or confidential information of another individual without proper authorization. SARĀY reserves the right to determine, in its sole discretion, whether any Submissions violate these standards.
9.6 Review and Removal
SARĀY may, but is not obligated to, monitor, review, process, modify, or remove Submissions at any time and for any reason, including through the use of automated or technological tools. SARĀY assumes no responsibility or liability for any content provided by users.
10. Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND YOUR USE OF THE WEBSITE AND SERVICES IS AT YOUR SOLE RISK. SARĀY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: (1) ACCURACY OR COMPLETENESS OF CONTENT; (2) AVAILABILITY, RELIABILITY, OR SECURITY OF THE SERVICES; (3) FITNESS FOR A PARTICULAR PURPOSE; (4) NON-INFRINGEMENT; OR (5) THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF DEFECTS OR HARMFUL COMPONENTS.
Without limiting the foregoing, the Website and Services may contain inaccuracies, errors, or omissions, including with respect to pricing, availability, property descriptions, amenities, or other Content, and SARĀY does not guarantee the accuracy or completeness of any such information. Property descriptions, images, and amenities are provided for illustrative purposes only and may vary; availability and pricing are not guaranteed until confirmed; and the Website may experience interruptions, delays, or errors.
SARĀY does not guarantee, endorse, or warrant the condition, safety, quality, legality, or suitability of any property, accommodation, or related services made available through the Services, and you acknowledge that any use of or stay at a property is at your own risk. To the fullest extent permitted by law, SARĀY disclaims any responsibility for the acts or omissions of any users, property owners, guests, or third parties in connection with the Website and/or Services.
Images, renderings, descriptions, and design elements presented through the Website and/or Services are provided for informational purposes only and may differ from the actual property, experience, or final conditions.
You acknowledge that you do not rely on any statement, representation, or information not expressly set forth in these Terms or the applicable Booking Confirmation, License Agreement for Short-Term Use, or Short-Term Rental Services and Hospitality Agreement.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU ACKNOWLEDGE AND AGREE THAT YOU ASSUME ALL RISK ARISING OUT OF YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE WEBSITE AND SERVICES. SARĀY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, PERSONAL INJURY, BODILY INJURY, EMOTIONAL DISTRESS, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE WEBSITE OR SERVICES, ANY CONTENT OR INFORMATION MADE AVAILABLE THROUGH THE WEBSITE AND SERVICES, OR ANY INTERACTIONS OR TRANSACTIONS WITH OTHER USERS OR THIRD PARTIES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF SARĀY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR IF ANY REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
IN NO EVENT SHALL SARĀY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES EXCEED THE GREATER OF: (I) THE AMOUNT PAID BY YOU TO SARĀY UNDER THE APPLICABLE BOOKING CONFIRMATION OR OTHER GOVERNING AGREEMENT GIVING RISE TO THE CLAIM; OR (II) THE TOTAL AMOUNT PAID BY YOU TO SARĀY IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM; OR (III) ONE HUNDRED U.S. DOLLARS (USD $100).
THE LIMITATIONS SET FORTH IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK BETWEEN THE PARTIES AND FORM AN ESSENTIAL BASIS OF THE AGREEMENT BETWEEN YOU AND SARĀY.
12. Indemnification
You agree to defend, indemnify, and hold harmless SARĀY LLC and its members, managers, officers, employees, agents, and affiliates from and against any and all claims, demands, causes of action, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) asserted by any third party arising out of or related to your access to or use of the Services, your breach or violation of these Terms, your violation of any applicable law or the rights of any third party, or any content, information, or materials submitted, transmitted, or otherwise provided by you in connection with the Services.
13. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
13.1 Agreement to Arbitrate
You and SARĀY agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any interaction with SARĀY (collectively, “Disputes”) shall be resolved exclusively through final and binding arbitration, except as expressly provided below.
13.2 Informal Resolution
Prior to initiating arbitration, the parties agree to make a good faith effort to resolve any Dispute informally. You agree to notify SARĀY in writing of any Dispute and allow at least thirty (30) days for resolution before commencing arbitration.
13.3 Opt-Out of Arbitration
You may opt out of this arbitration agreement by providing written notice to SARĀY within thirty (30) days of your first acceptance of these Terms. Such notice must include your name and a clear statement that you wish to opt out of arbitration. If you opt out, any Disputes shall be resolved in accordance with applicable law and the other provisions of this Section.
13.4 Scope of Arbitration
This agreement to arbitrate applies to all Disputes, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and applies regardless of whether such Dispute arises before or after the termination of these Terms.
13.5 Arbitration Rules and Forum
The arbitration shall be administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures then in effect. The arbitration shall be conducted before a single arbitrator.
13.6 Location of Arbitration
Unless otherwise agreed by the parties, the arbitration shall take place in Los Angeles County, California.
13.7 Authority of Arbitrator
The arbitrator shall have exclusive authority to resolve any Dispute, including issues relating to the interpretation, enforceability, or validity of this arbitration provision. The arbitrator may award any relief available in a court of law or equity, consistent with these Terms.
13.8 Waiver of Jury Trial and Class Actions
YOU AND SARĀY EACH WAIVE ANY RIGHT TO A JURY TRIAL. ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
13.9 Exceptions to Arbitration
Notwithstanding the foregoing, either party may bring a claim in a court of competent jurisdiction in Los Angeles County, California for: claims seeking injunctive or equitable relief related to intellectual property rights; claims that qualify for small claims court jurisdiction; or enforcement of an arbitration award.
13.10 Confidentiality of Arbitration
The arbitration proceedings, including any filings, evidence, and outcomes, shall be treated as confidential by the parties, except to the extent disclosure is required by law or necessary to enforce an arbitration award.
13.11 Survival
This arbitration provision shall survive termination of these Terms and your use of the Services.
14. General Provisions
14.1 Assignment
You may not assign, transfer, or delegate these Terms, in whole or in part, without the prior written consent of SARĀY. Any attempted assignment in violation of the foregoing shall be null and void. SARĀY may assign or transfer these Terms, or any of its rights or obligations hereunder, at any time, without restriction and without notice to you.
14.2 Entire Agreement
These Terms, together with any documents incorporated by reference, including the Privacy Policy, the License Agreement for Short-Term Use, the Booking Confirmation, the Short-Term Rental Services and Hospitality Agreement (or any successor owner or management agreement entered into with SARĀY), where applicable, and any applicable Additional Terms, constitute the entire agreement between you and SARĀY with respect to your access to and use of the Website and Services, and supersede all prior or contemporaneous understandings, agreements, communications, or representations, whether written, oral, or electronic, relating thereto. Except as expressly provided herein, these Terms are intended solely for the benefit of you and SARĀY and do not confer any rights or remedies upon any third party.
14.3 No Waiver
No failure or delay by SARĀY in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy. All rights and remedies under these Terms are cumulative and are in addition to any rights or remedies available at law or in equity.
14.4 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be enforced to the maximum extent permitted, and the remaining provisions shall remain in full force and effect. To the extent possible, any such invalid, illegal, or unenforceable provision shall be interpreted so as to give effect to the original intent of the parties.
14.5 Notices
Any notices or communications required or permitted under these Terms may be provided electronically, including via email or through the Website or Services, and shall be deemed given upon transmission. You are responsible for maintaining accurate and up-to-date contact information.
15. Termination
SARĀY reserves the right, in its sole discretion, to: (1) suspend or terminate your access to the Website, (2) remove or restrict access to any content, (3) cancel accounts or reservations where appropriate. Termination may occur without prior notice and for any reason, including violation of these Terms. SARĀY reserves the right, in its sole discretion, to refuse service, decline transactions, or limit access to the Services at any time, for any lawful reason.
16. Force Majeure
SARĀY shall not be responsible or liable for any delay, disruption, or failure in the performance of the Services to the extent such delay or failure results from events beyond its reasonable control, whether foreseeable or not. Such events may include, without limitation, severe weather conditions, natural events, fire, interruptions in power or utilities, governmental orders or restrictions, public health situations, labor disruptions, or failures in transportation, communication, or infrastructure systems. In the event of any such circumstance, SARĀY reserves the right to suspend, modify, or limit the availability of the Services as reasonably necessary. Unless otherwise expressly stated in the applicable Booking Confirmation or License Agreement for Short-Term Use, such circumstances shall not give rise to any right of refund, cancellation, or compensation.
17. Communications
